Terms of Service

Welcome to Compass Care Group 365 ("Compass Care 365", "we", "us"). These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Who We Are

Compass Care 365 is an incubator and marketplace platform for non-clinical, independent caregivers ("Caregivers") to launch their care businesses and connect with families seeking care ("Families"). We are not a home care agency, employer, or licensed healthcare provider. We do not employ Caregivers and we do not directly provide care services.

2. Eligibility

• You must be at least 18 years old to use the Service.
• You must provide accurate, current, and complete information during registration.
• Caregivers must comply with all applicable state and federal laws governing non-clinical care, including business registration, background checks, and any state caregiver registry requirements.

3. Verification Badges

Compass Care 365 displays verification badges (e.g. "Background Check", "CPR Certified", "Insured & Bonded") based on documents and attestations submitted by Caregivers. Badges reflect information provided at the time of verification and may not reflect current status. Families are responsible for performing their own due diligence before engaging any Caregiver.

4. Payments, Fees & Payment Intermediary

Compass Care 365 is a payment intermediary and technology platform — not a Merchant of Record for services delivered by Caregivers. Two distinct payment flows exist on the platform:

• (a) Platform fees paid by Caregivers to Compass Care 365. The one-time activation fee of $149 and the recurring subscription fee of $49/month are charges from Compass Care 365 to the Caregiver for marketplace access. These are processed by Stripe under Stripe's Managed Payments program; Stripe acts as the Merchant of Record for these charges and handles applicable sales tax.
• (b) Service payments from Families to Caregivers. When a Family pays a Caregiver for caregiving services through the platform, the payment is a direct charge to the Caregiver via Stripe Connect. The Caregiver is the Merchant of Record for these payments. Compass Care 365 facilitates the transaction and collects a flat 10% application fee. Stripe processing fees (~2.9% + $0.30) are deducted from the Caregiver's portion at standard Stripe rates.
• Refunds, chargebacks, and disputes related to service payments are between the Family and the Caregiver. Compass Care 365 is not a party to those disputes and is not liable for refunds, chargebacks, or service quality. The Caregiver is responsible for resolving disputes and any associated financial liability (refunded amounts, chargeback fees, etc.).
• Sales tax on service payments is the Caregiver's responsibility in every jurisdiction in which they earn income. Compass Care 365 does not collect, remit, or file sales tax on service payments.
• Subscription fees paid to Compass Care 365 are non-refundable except as required by law.

5. Caregiver Conduct

Caregivers agree to provide care lawfully, honestly, and safely. Misrepresentation of credentials, insurance, or identity is grounds for immediate termination of your account and removal from the directory.

6. Family Conduct

Families agree to communicate respectfully with Caregivers, provide truthful information about care needs, and pay agreed-upon rates directly to the Caregiver (or via Compass Care 365 if in-platform payments are enabled for that Caregiver).

7. Intellectual Property

All content on the Service — including the roadmaps, document templates, badges, and branding — is owned by Compass Care 365 and licensed for your personal, non-commercial use while you have an active account.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. COMPASS CARE 365 DOES NOT WARRANT THE QUALIFICATIONS, BACKGROUND, OR SUITABILITY OF ANY CAREGIVER OR FAMILY. YOU ENGAGE WITH OTHER USERS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPASS CARE 365'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your account at any time for any violation of these Terms. You may cancel your subscription from your dashboard at any time.

11. Changes

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.
